Terms and Conditions of Business

These Terms and Conditions of Business (“Terms”) govern the provision of services by Oakridge People Solutions (“we,” “our,” or “us”) to you, our client (“you” or “your”). By engaging our services, you agree to these Terms. Please read them carefully.
1. Services
1.1 We provide flexible and affordable human resources (HR) management services, including HR training, tailored to meet your specific business needs.
1.2 The scope of services will be outlined in a separate agreement or proposal, which forms part of these Terms.
2. Fees and Payment
2.1 Our fees for services will be detailed in our agreement or proposal. All fees are exclusive of VAT unless otherwise stated.
2.2 Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
2.3 Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Your Obligations
3.1 You agree to provide all necessary information, access, and cooperation to enable us to deliver the agreed services.
3.2 You confirm that any information you provide is accurate, complete, and up-to-date.
4. Confidentiality
4.1 Both parties agree to keep confidential any information disclosed during the course of the services, except where required by law or with prior written consent.
4.2 This obligation continues after the termination of services.
5. Intellectual Property
5.1 Any materials, training content, or documentation provided by us remain our intellectual property unless otherwise agreed in writing.
5.2 You may not reproduce, distribute, or use such materials for any purpose other than as agreed without our prior consent.
6. Limitation of Liability
6.1 We are not liable for any indirect, incidental, or consequential losses arising from the use of our services.
6.2 Our total liability is limited to the fees paid for the services in the 12 months preceding the claim.
7. Termination
7.1 Either party may terminate the agreement with 30 days’ written notice.
7.2 We may terminate the agreement immediately if you fail to comply with these Terms.
8. Governing Law
8.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
